Terms & Conditions
Please read these Terms and Conditions carefully before using the Acornya website and services. They set out the rules for using our Service and your legal rights and obligations.
1. Agreement to Terms
These Terms and Conditions ("Terms") govern your access to and use of the Acornya website located at acornya.com and any associated services provided by Acornya Ltd ("Acornya", "we", "us", "our").
By accessing or using the Service, you confirm that you are at least 16 years old, have read and understood these Terms, and agree to be bound by them. If you do not agree, please do not use the Service.
These Terms are governed by the laws of England and Wales. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

3. The Service
Acornya is building an AI system with lifelong learning capabilities. The Service currently comprises:
- Our public-facing website and marketing pages
- Our early-access waitlist registration
- Any communications, updates, or newsletters we send to waitlist members
We are a pre-launch company. Features described on the website represent our intended product and are subject to change. Access to any future product or platform will be governed by separate terms presented at the time of launch.
4. Waitlist Registration
By joining our waitlist you agree to:
- Provide accurate and up-to-date contact information (at minimum, a valid email address)
- Receive product updates, announcements, and related communications from Acornya
- Understand that joining the waitlist does not guarantee access to any product, priority placement, or any contractual right to the Service
You may unsubscribe from waitlist communications at any time by using the unsubscribe link in any email we send, or by contacting us at cto@acornya.com.
5. Pricing, Payments and Refunds
5.1 Current pricing
Joining the Acornya waitlist is free of charge. We do not currently take any payment through the Service. When paid plans are introduced, we will update these Terms and notify you in advance.
5.2 Future payments
When payment is required for any Acornya product or service, the following will apply:
- All prices will be displayed inclusive of VAT where applicable and denominated in Pounds Sterling (GBP) unless stated otherwise.
- Payment will be processed by our authorised payment service provider. We do not store full card details on our servers.
- Subscription fees are billed in advance for the period selected (monthly or annual). You authorise us to charge the payment method on file at each renewal.
- We reserve the right to change pricing with at least 30 days' notice to existing subscribers.
5.3 Cancellations and refunds
For consumers in the UK, your statutory rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 apply. Specifically:
- 14-day cooling-off period: You have the right to cancel a paid subscription within 14 days of purchase without giving a reason, and receive a full refund, unless you have expressly requested immediate access to digital content and acknowledged that the right to cancel is thereby waived.
- Cancellation after 14 days: You may cancel your subscription at any time via your account settings or by emailing cto@acornya.com. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time within that period.
- Defective service: If the Service fails materially to conform to its description, you may be entitled to a remedy under the Consumer Rights Act 2015, including a full or partial refund. Contact us at cto@acornya.com to raise a complaint.
5.4 Refund processing
Approved refunds will be returned to the original payment method within 5–10 business days. We are not responsible for delays caused by your bank or payment provider.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation
- Transmit any unsolicited or unauthorised advertising or promotional material (spam)
- Attempt to gain unauthorised access to any part of the Service, its servers, or connected systems
- Introduce viruses, malware, or other technically harmful material
- Impersonate any person or entity, or falsely represent your affiliation with any person or entity
- Engage in any conduct that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Scrape, crawl, or otherwise systematically extract data from the Service without our prior written consent
- Circumvent, disable, or otherwise interfere with security features of the Service
7. Intellectual Property
All content on the Service — including but not limited to text, graphics, logos, icons, images, audio clips, software, and the overall design — is the property of Acornya Ltd or its licensors and is protected by UK and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own personal, non-commercial purposes. This licence does not include the right to:
- Reproduce, distribute, or publicly display any content from the Service
- Modify or create derivative works based on Service content
- Use any content for commercial purposes without our prior written consent
- Remove or alter any proprietary notices, labels, or marks
Any feedback, suggestions, or ideas you submit to us about the Service may be used by Acornya without obligation or compensation to you.
8. Disclaimers and Limitation of Liability
7.1 No warranties
The Service is provided on an "as is" and "as available" basis without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
7.2 Forward-looking statements
Product descriptions, roadmaps, and timelines on the Service are aspirational and subject to change. They do not constitute representations, warranties, or guarantees of any kind.
7.3 Limitation of liability
To the fullest extent permitted by English law, Acornya Ltd and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of (or inability to use) the Service, even if advised of the possibility of such damages.
Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
7.4 Consumer rights
If you are a consumer resident in the UK, nothing in these Terms affects your statutory rights under applicable consumer protection legislation, including the Consumer Rights Act 2015 and the Consumer Contract (Information, Cancellation and Additional Charges) Regulations 2013.
9. Third-Party Links and Services
The Service may contain links to third-party websites or services that are not owned or controlled by Acornya Ltd. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites.
We strongly advise you to read the terms and privacy policies of any third-party site you visit. Our linking to such sites does not constitute an endorsement of those sites or their operators.
10. Data Protection
Your use of the Service involves the collection and processing of personal data. This is described in detail in our Privacy Policy, which forms part of these Terms. By using the Service you acknowledge that you have read and understood our Privacy Policy.
We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
11. Termination
We reserve the right to suspend or terminate your access to the Service at any time and without notice if we reasonably believe you have breached these Terms or any applicable law.
You may stop using the Service at any time. If you have joined our waitlist and wish to have your data removed, please contact us at cto@acornya.com or refer to the rights set out in our Privacy Policy.
Provisions of these Terms that by their nature should survive termination shall survive, including Sections 7 (Intellectual Property), 8 (Disclaimers and Limitation of Liability), 10 (Data Protection), and 13 (Governing Law).
12. Changes to These Terms
We may revise these Terms at any time by updating this page. The revised Terms will take effect from the date shown as the "Effective date". Where changes are material, we will notify waitlist members by email.
Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, please stop using the Service.
13. Governing Law and Disputes
These Terms and any disputes arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms. If you are a consumer resident in another part of the UK, you may also be able to bring proceedings in the courts of Scotland or Northern Ireland as applicable.
